Terms of Business

We are a software development business. As with all project-based businesses, we must outline some of our terms which you will accept when working with us.

Please reach out to us if these terms are not clear and ensure you understand them before accepting project development. Accepting project development will automatically mean you are consenting to our terms of business.

Project Requirements

When deciding to create website, it can be very difficult to think of a design that really captures your vision and we understand this totally. We are very customer-centered and do our best to facilitate and inspire our clients with ideas and designs for sites.

However for website development we do require a small seed of direction from you. What does this include:

  • Style of website you invision.
  • Colour scheme that you have in mind.
  • Number of pages / sections that are to be created.
  • Files - incase of downloads for the site.
  • Product Data - incase of ecommerce sites.
  • Regular feedback for the design.

Project Development

Building a website takes precision and charisma. It is a chance to really let your creative side come out and expressed through a mobile or computer device. We have developed our project plan to be as flexible as possible for our clients but we do need flexibility from our clients too. Please take a look at our sample plan for implementation:

  • Initial Client Meeting to discuss requirements.
  • All required files and website content to be sent to OrbisCode.
  • Design phases 1 - n.
  • Demonstration and feedback
  • Final deployment.

We want to use our design phase to discuss with you your vision for the site and how the current setup feels for you. If we surpass this phase and move to full development, we expect small changes to be done to the site. If you wish to redesign the look and feel of the site from scratch, a professional fee will be provided on top of the project build for additional development hours imposed.

This fee will be variable up to 70% of the complete package cost.

Payment Terms

Payments for our services are due as outlined in the project proposal or invoice. Payments must be made within 14 days of the invoice date. Late payments will incur a fee of 15% per month on the outstanding balance. We accept payments via bank transfer. Full payment must be received before the final deployment of the project.

Renewal Fees

We understand that economic fluctuations can impact the cost of providing our services, and as a result, we reserve the right to adjust renewal fees accordingly. These adjustments will be made in a fair and reasonable manner, taking into account prevailing market conditions and the overall cost of maintaining and improving our services.

We will notify you in advance of any changes to the renewal fees, providing you with an opportunity to review and potentially adjust your subscription.

By continuing to use our services after such notification, you agree to the revised renewal fees. We remain committed to delivering value and maintaining a transparent relationship with our customers, and we appreciate your understanding in these matters.


This adjustment will be variable up to 50% of the renewal fee package.


Cancelling a Project Build

If we begin developing your website / application, our time becomes billable to you. If there should be any reason why the project should be cancelled, a professional fee up to 100% of the package cost will be imposed to cover the development build depending on which stage the project has been cancelled. We understand there may be economic impacts on your business and we take this into consideration during our evaluation. The fee payable will be based upon the progress and time spent on the project.

Termination Clause

Either party may terminate this agreement upon 7 days' written notice. In the event of termination, the client will be responsible for payment of all work completed up to the date of termination, including any applicable cancellation fees. OrbisCode reserves the right to terminate this agreement immediately if the client breaches any terms outlined herein.

Intellectual Property Rights

Upon full payment of the project, all intellectual property rights for the completed work will be transferred to the client. OrbisCode retains the right to use any code, designs, and content created during the project in our portfolio and for promotional purposes, unless otherwise agreed upon in writing.

Confidentiality

Both parties agree to keep all confidential information exchanged during the course of the project strictly confidential. Confidential information includes, but is not limited to, business plans, strategies, customer data, and any proprietary information. This obligation shall survive the termination of this agreement.

Liability and Indemnity

By accepting / participating in our services, engaging in a project development, receiving consultancy or advice, you agree that OrbisCode is not liable for any loss of business, revenue, profits, or any other form of financial loss resulting from the use or inability to use our products and / or services. This includes, but is not limited to, losses arising from delays, errors, or omissions during the development or maintenance of your website/application. You further agree to indemnify and hold OrbisCode harmless against any claims or demands arising out of your use of our services.

Limitation of Liability

OrbisCode’s total liability under this agreement, whether in contract, tort, or otherwise, shall not exceed the amount paid by the client for the specific project that is the subject of the claim. In no event shall OrbisCode be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of profits, revenue, or data, arising out of or in connection with the services provided.

Force Majeure

OrbisCode shall not be liable for any failure or delay in performing its obligations under this agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, war, natural disasters, pandemics, strikes, or interruptions in internet service. In such an event, OrbisCode will notify the client and make reasonable efforts to resume work as soon as possible.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of Ireland. Any legal actions or proceedings arising out of or related to this agreement shall be brought exclusively in the courts of Ireland.

Our Portfolio

Our portfolio is one of the ways we can showcase our work to our future clients. When we undertake a project we will use your business logo, key information such as sector, county, your NEW website address etc and also some feedback from you on our work to show to our visitors. This is great exposure for us and also free advertising for you and your business too. You have the right to refuse this offer.
